Non-Disclosure Agreement

This Non-Disclosure Agreement ("Agreement") is entered into between the undersigned party ("Recipient") and Turning Point Advisors LLC ("Advisor"), acting on behalf of its clients.

1. Confidential Information. Recipient acknowledges that all information provided by Advisor, including but not limited to financial statements, customer data, operational details, trade secrets, business strategies, and any other proprietary information relating to businesses represented by Advisor (collectively, "Confidential Information"), is strictly confidential.

2. Non-Disclosure. Recipient agrees not to disclose, reproduce, distribute, or use the Confidential Information for any purpose other than evaluating a potential business acquisition, without the prior written consent of Advisor and the applicable business owner.

3. No Contact. Recipient agrees not to contact the employees, customers, suppliers, or owners of any represented business directly without the express written permission of Turning Point Advisors LLC.

4. Return of Information. Upon request, Recipient agrees to promptly return or destroy all Confidential Information and any copies thereof.

5. Term. This Agreement shall remain in effect for a period of three (3) years from the date of execution.

6. Governing Law. This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising hereunder shall be resolved through binding arbitration.
